These Terms & Conditions govern your use of our website, services, communications, and any work provided by Zainecommerce in connection with Amazon marketplace consulting, account management, PPC advertising, listing optimization, product research, keyword research, and related ecommerce services.
By accessing this website, submitting an inquiry, requesting a quotation, engaging our services, or entering into a service agreement with us, you agree to these Terms & Conditions.

The exact scope of work will depend on the service package, quotation, proposal, email confirmation, or written agreement accepted by the client.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use our paid services.
If you are engaging Zainecommerce on behalf of a company, brand, partnership, or other organization, you confirm that you have the authority to enter into agreements on behalf of that organization.
3. Service Scope
The scope of each project will be agreed upon before work begins.
Only services specifically included in the agreed scope are considered part of the engagement.
Requests outside the agreed scope may:
- require additional fees,
- require additional time, or
- be treated as a separate project.
Zainecommerce may recommend changes to listings, campaigns, budgets, account structure, product positioning, keywords, inventory planning, or other marketplace activities. Final approval may remain with the client where applicable.
4. No Guarantee of Sales or Profit
Amazon marketplace performance depends on many factors that are outside our direct control.
These may include:
- customer demand,
- competition,
- product quality,
- reviews,
- pricing,
- inventory,
- seasonality,
- Amazon algorithm changes,
- advertising competition,
- account health,
- marketplace policies,
- economic conditions,
- supplier performance,
- product-market fit,
- fulfillment performance, and
- changes made by Amazon.
Therefore, Zainecommerce does not guarantee any specific level of:
- sales,
- revenue,
- profit,
- ranking,
- ROAS,
- ACOS,
- impressions,
- clicks,
- conversion rate,
- Buy Box percentage, or
- marketplace growth.
Any case studies, previous results, examples, or performance figures shown on our website are examples of past work only and should not be interpreted as a guarantee of future results.
5. Amazon and Third-Party Platforms
Zainecommerce is an independent service provider.
Unless expressly stated otherwise, we are not owned by, operated by, endorsed by, or officially affiliated with Amazon.
Amazon and other third-party platforms operate under their own policies, rules, systems, and terms.
Clients remain responsible for complying with:
- Amazon Seller Central policies,
- Amazon Advertising policies,
- intellectual-property requirements,
- product-safety requirements,
- marketplace regulations,
- tax obligations,
- product-compliance requirements, and
- applicable local laws.
Zainecommerce is not responsible for platform actions such as:
- listing suppression,
- ASIN removal,
- account suspension,
- policy warnings,
- advertising restrictions,
- category restrictions,
- account deactivation,
- changes in algorithm,
- changes in fees, or
- marketplace policy updates,
where such actions are controlled by Amazon or another third party.
6. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information required to perform the agreed services.
This may include:
- account access,
- product information,
- product specifications,
- pricing information,
- inventory details,
- advertising data,
- supplier information,
- product images,
- brand assets,
- compliance documents, and
- business objectives.
Clients are responsible for reviewing and approving materials where approval is required.
Delays caused by incomplete information, lack of access, delayed approvals, missing documents, or other client-side issues may affect the delivery timeline.
7. Account Access and Security
Where account access is required, clients should provide access using appropriate user permissions whenever possible.
Clients should avoid sharing master passwords unless absolutely necessary.
Clients remain responsible for:
- maintaining secure account credentials,
- enabling appropriate security protections,
- controlling internal user access, and
- removing access when services end.
Zainecommerce will make reasonable efforts to protect any account-access information provided for legitimate service purposes.
8. Advertising Budgets
Advertising spend is separate from Zainecommerce’s service fees unless expressly stated otherwise.
The client is responsible for:
- approving advertising budgets,
- maintaining valid payment methods,
- funding advertising accounts, and
- understanding that Amazon may charge advertising costs directly.
Zainecommerce may make campaign adjustments within agreed limits, but the client remains responsible for the financial cost of advertising spend.
9. Fees and Payment
Service fees will be communicated through a quotation, invoice, proposal, package, or written agreement.
Unless otherwise agreed:
- payments must be made according to the invoice terms,
- work may begin only after the required payment is received, and
- overdue payments may result in paused services.
Any additional work outside the agreed project scope may be charged separately.
10. Refund Policy
Because many Zainecommerce services involve professional time, analysis, research, campaign setup, optimization, and customized work, fees for completed work are generally non-refundable.
Refund eligibility, where applicable, will depend on:
- the specific service,
- the amount of work already completed,
- third-party costs already incurred, and
- the written agreement between Zainecommerce and the client.
No refund will normally be provided simply because expected sales or marketplace performance was not achieved.
This is because business and marketplace results cannot be guaranteed.
11. Project Timelines
Estimated timelines are provided in good faith.
Delivery times may be affected by:
- client approvals,
- account access,
- Amazon review periods,
- missing information,
- marketplace issues,
- technical problems,
- supplier delays, or
- other circumstances outside our control.
An estimated delivery date is not a guaranteed deadline unless specifically agreed in writing.
12. Revisions
Where revisions are included in a service, the number or scope of revisions may be defined in the quotation, package, or agreement.
Additional revisions or substantial changes outside the original brief may require an additional fee.
13. Intellectual Property
Unless otherwise agreed, the client retains ownership of materials that they provide to Zainecommerce.
Once full payment has been received, the client may use the final deliverables created specifically for their project according to the agreed service.
Zainecommerce retains ownership of:
- internal methods,
- processes,
- templates,
- frameworks,
- research systems,
- workflow structures,
- generic tools, and
- proprietary know-how
used to provide services.
14. Client Content and Intellectual-Property Responsibility
Clients confirm that they have the right to use any material supplied to Zainecommerce.
This includes:
- logos,
- trademarks,
- images,
- videos,
- product descriptions,
- packaging,
- product claims,
- copyrighted material, and
- brand assets.
Zainecommerce is not responsible for claims arising from client-provided material that infringes another party’s intellectual-property rights.
15. Product Claims and Compliance
The client is responsible for ensuring that all product claims are accurate, lawful, and supported where required.
This is particularly important for products involving:
- health,
- wellness,
- supplements,
- medical claims,
- safety claims,
- children’s products,
- cosmetics,
- food products, or
- regulated categories.
Zainecommerce may assist with listing optimization but does not certify that a product or claim complies with all laws, regulations, or Amazon policies.
16. Confidentiality
Zainecommerce will make reasonable efforts to keep confidential business information provided by clients private.
Confidential information may include:
- account data,
- product strategy,
- supplier information,
- pricing,
- advertising performance,
- sales data,
- internal reports, and
- commercial plans.
Confidential information will not normally be disclosed to third parties except where:
- required to provide the agreed service,
- authorized by the client,
- required by law, or
- already publicly available.
17. Portfolio and Case Studies
Zainecommerce may display selected examples of previous work, performance screenshots, anonymized results, or case studies for portfolio and marketing purposes where appropriate.
Sensitive information may be removed, blurred, anonymized, or withheld.
Where a separate confidentiality or non-disclosure agreement prevents public use, that agreement will take priority.
If a client does not wish their results to be used for portfolio purposes, this should be communicated in writing.
18. Testimonials
Testimonials displayed on the website should reflect genuine client experiences.
Individual client outcomes may vary.
Testimonials, reviews, case studies, and past performance do not guarantee that another client will achieve the same outcome.
19. Website Information
We aim to keep information on this website accurate and up to date.

20. Third-Party Links
Our website may contain links to third-party websites, platforms, tools, or services.

- availability, or
- business practices.
Users access third-party services at their own discretion.

This may include losses relating to:
- lost revenue,
- lost profit,
- lost business opportunities,
- account suspension,
- listing removal,
- advertising losses,
- inventory problems,
- marketplace changes,
- product failure, or
- third-party platform decisions.
Where liability cannot legally be excluded, liability should be limited to the extent permitted by applicable law.
22. Indemnification
Clients agree to remain responsible for their products, business activities, product claims, regulatory compliance, intellectual property, and marketplace conduct.
Where legally permitted, clients agree to indemnify Zainecommerce against claims arising from inaccurate information, unlawful products, unauthorized content, intellectual-property violations, or breaches of marketplace rules caused by the client’s products, instructions, or business operations.
23. Suspension or Termination of Services
Zainecommerce may suspend or terminate services where:
- invoices remain unpaid,
- required information is repeatedly withheld,
- the client requests unlawful or unethical activity,
- the client violates agreed terms,
- abusive or threatening behavior occurs, or
- continuing the engagement creates unreasonable legal, reputational, or operational risk.
Clients may also terminate services according to the cancellation terms contained in their specific agreement or service package.
Any fees already earned for completed work remain payable.
24. Changes to Services
Zainecommerce may update, modify, improve, or discontinue certain services from time to time.
Existing contractual obligations will continue according to the terms agreed for that engagement unless both parties agree otherwise.
25. Privacy
Personal information collected through this website, contact forms, email, or service engagements will be handled according to our Privacy Policy.
Users should review the Privacy Policy alongside these Terms & Conditions.
26. Force Majeure
Zainecommerce will not be responsible for delays or inability to perform obligations caused by events outside reasonable control.
These may include:
- internet outages,
- platform outages,
- natural disasters,
- government actions,
- cyber incidents,
- wars,
- strikes,
- major technical failures, or
- third-party service disruptions.
